Terms of Service

These Terms of Service ("Terms") govern your use of ripstead.com and any related apps and services (together, the "Service") operated by Ripstead ("Ripstead", "we", "us"). By creating an account or using the Service, you agree to these Terms, our Privacy Policy, our Pack Rules & Odds, our Responsible Play policy and our Restricted Locations list. If you do not agree, do not use the Service.
Please read section 18 carefully. It contains an agreement to resolve disputes through individual arbitration, a waiver of class actions, and your right to opt out.
1. Who can use Ripstead
1.1 You must be at least 18 years old, or the age of majority where you live if that is higher. Where a law that applies to you sets a higher minimum age for this type of product, that higher age applies.
1.2 The Service is not available everywhere. You may not use it in any location listed on our Restricted Locations page, or where it is otherwise prohibited by law, and you may not use it if you are named on a government sanctions list. We use location checks to enforce this. You must not try to get around them, for example with a VPN or proxy.
1.3 If a location becomes restricted, or you move to one, your account will be limited. You will still be able to ship out the Collectibles in your Vault or sell them back (where lawful) within the period described on the Restricted Locations page. We will not take your Collectibles because of a change in where you live.
1.4 You may hold only one account, which is personal to you. Accounts may not be sold, shared or transferred.
2. Your account and verification
2.1 You are responsible for keeping your login details secure and for all activity on your account. Tell us promptly at support@ripstead.com if you think someone has accessed your account without permission. The information you give us must be accurate and kept up to date.
2.2 Verification. We may ask you to verify your identity, age or address at any time. We will always require verification before we ship Collectibles to you, and may also require it for high-value Sell-Backs, when a payment is disputed, or when we see unusual activity. Verification may include a photo ID and a selfie check through our identity-verification provider. We also screen accounts against government sanctions lists. If you do not complete verification when asked, we may limit or close your account (see section 13).
3. How Packs work
3.1 A "Pack" is a digital product that, when opened, delivers one collectible trading card (a "Collectible") selected at random from that Pack's pool of eligible Collectibles. There are two kinds of Pack:
- Slab Packs deliver a professionally graded card sealed in its grading company's case (a "Slab").
- Raw Packs deliver an ungraded card (a "Raw Card"). Raw Cards are not graded by any grading company. We inspect each one when we receive it, list only cards we judge to be Near Mint or better, and photograph or record it. Condition is our own good-faith assessment, not a grade.
The kind of every Pack is shown on the Pack page before you buy.
3.2 Before you buy, you choose a Pack style (Normal, or High where offered). The Pack's price and, for each style, its rarity tiers, the value range of each tier and the probability of each tier are shown in the Pack's odds view and in our Pack Rules & Odds. The result is decided at the moment you open the Pack using a cryptographically secure random process, as described in the Pack Rules. If we change a Pack's odds, the change applies only to Packs opened afterwards.
3.3 Listed Value. The value we show for a Collectible (its "Listed Value") is our good-faith estimate of its fair market value, based on recent sales and price data from third-party marketplaces and price guides. Listed Values are estimates only. Market prices change, and you may not be able to sell a Collectible elsewhere for its Listed Value.
3.4 Images. Each Slab is a specific graded item, identified by its grading company and certification number. Each Raw Card is a specific item, identified by our own intake number. Where we show a photo of the actual item, it is the exact Collectible you would receive. Where we show stock artwork instead (for example, before a photo is available), the artwork illustrates the card only: what you receive is the item that matches its recorded grading company, grade and certification number (or, for a Raw Card, its recorded condition).
3.5 All Pack purchases are final. Once a Pack is opened, it cannot be cancelled, returned or refunded, except where the law requires it or where a technical error affected the result (see section 10).
3.6 On average, a Pack returns less than its price in Listed Value, and the average for each Pack is shown before you buy. Packs are sold for collecting and entertainment. They are not investments, and nothing on the Service is financial advice.
4. Credit
4.1 "Credit" is a balance on your account that can be used to buy Packs on the Service. Credit is not money. It does not earn interest, cannot be transferred to another account, and has no cash value except as these Terms state or the law requires.
4.2 There are three kinds of Credit:
- Purchased Credit, which you add with the payment methods shown at checkout, such as debit and credit cards, Apple Pay and Google Pay;
- Sell-Back Credit, which you receive when you sell a Collectible back to us (section 6); and
- Promotional Credit, which we give you for free, for example in a promotion or as a referral reward.
When you buy a Pack, Promotional Credit is used first, then Sell-Back Credit, then Purchased Credit.
4.3 Purchased Credit and Sell-Back Credit do not expire. Promotional Credit may expire or carry other conditions, which we will tell you when you receive it. You can ask for a refund of Purchased Credit you have not used within 14 days of adding it. When you close your account, we refund any unused Purchased Credit to your original payment method. Sell-Back Credit and Promotional Credit cannot be exchanged for cash.
4.4 If your account has had no activity for a long time, we will try to contact you before taking any action. We deal with dormant balances only as unclaimed-property laws require, and we never charge inactivity fees.
5. Your Vault and ownership
5.1 You own what you pull. When you open a Pack, ownership of the specific Collectible you receive passes to you at the moment it is revealed. It is recorded to your account by its grading company and certification number (or, for a Raw Card, our intake number) and placed in your "Vault". We hold Vault Collectibles as custodian on your behalf. They are not our property. We keep them separately identifiable from our own inventory, and they would not form part of our assets if our business became insolvent.
5.2 The Collectible you pull is the Collectible you receive. If you ship a Collectible, you receive the exact item recorded in your Vault: for a Slab, the same certification number; for a Raw Card, the same card we recorded at intake.
5.3 Loss or damage in our custody. We store Vault Collectibles in a secure facility and insure them. If a Vault Collectible is lost, stolen or damaged while in our custody, we will, at your choice, replace it with the same card in the same grade from the same grading company (where available) or credit you its Listed Value at the time of the loss. This obligation is not limited by section 15.
5.4 Grading issues. If a grading company recalls, re-grades or questions the authenticity of a Vault Collectible, we will tell you, and you may choose a replacement of equivalent Listed Value or a credit of the Collectible's Listed Value before the issue arose.
5.5 No forfeiture for inactivity. We will never take the Collectibles in your Vault because your account is inactive. Long-unclaimed property is handled only as the law requires, after we have tried to contact you.
5.6 If Ripstead closes. If we ever stop operating the Service, we will give you at least 90 days' notice to ship out your Vault Collectibles or sell them back, and we will pay standard tracked shipping for any Vault Collectibles you ask us to ship during that period.
6. Selling Collectibles back to us ("Sell-Back")
6.1 You may offer to sell any Collectible in your Vault back to us. The Sell-Back price is the Sell-Back rate that applied when you pulled the Collectible (currently 97%) multiplied by its Listed Value at the time you confirm the sale. It is paid as Sell-Back Credit (section 4), not cash.
6.2 There is no time limit. You can sell a Collectible back at any time while it is in your Vault.
6.3 We may change the Sell-Back rate for Collectibles pulled in the future, or suspend Sell-Back for all players, but a change will never lower the rate for a Collectible you already hold. We may decline a particular Sell-Back if we reasonably suspect fraud, if a payment connected to the Collectible is disputed, or if its Listed Value is affected by an obvious error.
6.4 The price is shown before you confirm. A confirmed Sell-Back is final: the Collectible then belongs to us.
7. Shipping
7.1 Shipping will be available at launch. You may then request that Collectibles in your Vault be shipped to you. Shipping requires verification (section 2.2) and a delivery address in a country we ship to.
7.2 Shipping fees, processing times, estimated delivery times and any minimum order are shown before you confirm a shipment. Raw Cards ship together, in one parcel, once the Raw Cards you ask us to ship have a combined Listed Value of at least $25. Until then they stay in your Vault, and you can sell them back at any time. You are responsible for customs duties, import taxes and fees charged by your country, which we will estimate for you where we can.
7.3 We ship with tracking and insurance. We carry the risk of loss or damage until the shipment is delivered to you.
7.4 Report a problem. If a Collectible arrives damaged, or does not match its Vault record (for example, the wrong certification number or grade, or a Raw Card in worse condition than Near Mint), tell us within 14 days of delivery, with photos. We will, at your choice, replace it, credit you its Listed Value, or arrange its return for a full credit.
8. Promotions and giveaways
Promotions, giveaways, free Packs and similar offers are governed by their own official rules, published with each promotion. Where the law requires, no purchase will be necessary to enter, a free method of entry will be available at the same odds, and we will register and bond the promotion where needed. Promotional Credit may carry conditions such as expiry.
9. Fairness
Pack results are generated on our servers at the moment of opening. We do not alter results after a Pack is opened, and we do not change odds for individual players. We record every result with the time it was generated, the Pack, the style and the Collectible awarded, and keep these records so results can be audited.
10. Errors and interruptions
10.1 If a technical error, system malfunction or pricing mistake affects a transaction, we may correct it. For example, a Pack might deliver a Collectible outside its published tiers, or be sold at an obviously wrong price. Correcting it may mean reversing the transaction and restoring your Credit. We will tell you what happened.
10.2 We do not guarantee that the Service will always be available or free of errors. We may change, suspend or discontinue features, and we are not responsible for delays or failures caused by events beyond our reasonable control. If we permanently discontinue the Service, section 5.6 applies.
11. Rules of conduct
You must not:
- use bots, scripts or automated tools to open Packs, sell back or otherwise use the Service;
- exploit bugs or errors, or fail to report ones you discover;
- create more than one account or use someone else's account;
- use payment methods that are not yours;
- use the Service for money laundering, fraud or any other unlawful purpose;
- interfere with, reverse-engineer or overload the Service;
- harass other users or post unlawful or offensive content.
12. Payment disputes
12.1 If you have a problem with a payment, please contact us at support@ripstead.com first. We aim to respond within one business day, and we refund charges that are our mistake.
12.2 If you dispute a payment with your bank or card issuer, then while the dispute is open we may hold the disputed amount and only the Collectibles and Credit obtained with it. We may pause Sell-Back and shipping of those items. Your other Collectibles and Credit are not affected.
12.3 If the dispute is decided in our favour, the hold is lifted. If it is decided in your favour, the held items are returned to us and the dispute amount is refunded to you by your bank. Disputing a charge in good faith will never, on its own, lead us to close your account.
13. Suspension and closure
13.1 You may close your account at any time by contacting us.
13.2 We may suspend or close your account if you break these Terms, if we are required to by law, or if you do not complete verification when asked. Where we can, we will tell you why and give you a chance to respond.
13.3 When an account is closed for any reason, you will have at least 90 days to ship out or sell back the Collectibles in your Vault. We refund any unused Purchased Credit to your original payment method, and you can use Sell-Back Credit to pay for shipping during that period. If the account was closed for proven fraud, we may first deduct losses the fraud caused us, and we may report unlawful activity to the authorities.
14. Intellectual property
14.1 The Service, including its design, software, text and graphics (excluding third-party trademarks and card artwork), is owned by Ripstead or its licensors.
14.2 Pokémon and all related names, artwork and trademarks are the property of Nintendo, Creatures Inc., GAME FREAK inc. and The Pokémon Company. Grading company names and marks belong to their respective owners. Ripstead is not affiliated with, endorsed, sponsored or approved by any of them. Card images are shown to identify the Collectibles offered.
15. Disclaimers and limitation of liability
15.1 Apart from the promises we make in these Terms, the Service is provided "as is" and "as available". To the maximum extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Grading is performed by independent third parties, and we do not guarantee any grading company's opinion of a card's condition or authenticity. However, we will never knowingly offer counterfeit or tampered Collectibles.
15.2 To the maximum extent the law allows, Ripstead is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits. Our total liability for all claims relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose and (b) US$100.
15.3 These limits do not apply to our obligations regarding your Vault Collectibles and Credit (sections 4, 5 and 7), and nothing in these Terms limits liability that the law does not allow us to limit, including your statutory rights as a consumer.
16. Indemnity
You agree to indemnify Ripstead against third-party claims, losses and reasonable costs arising from your breach of these Terms or your misuse of the Service.
17. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will tell you by email or on the Service at least 30 days before it takes effect. Continuing to use the Service after changes take effect means you accept them. Changes to section 18 follow the special rule in section 18.8.
18. Resolving disputes
18.1 Talk to us first. Before starting any formal claim, you and we agree to try to resolve the dispute informally for at least 30 days after one side sends the other a written notice describing it. Time limits for bringing claims are paused during this period.
18.2 Arbitration. If the dispute is not resolved informally, it will be decided by binding individual arbitration administered by JAMS under its consumer rules. Hearings may take place by video or by phone. Each side pays its own legal fees unless the rules or the law provide otherwise, and we will never seek to recover our legal fees from you for an arbitration you bring in good faith. We will pay the filing and arbitrator fees for any claim you bring for less than US$10,000.
18.3 Small claims. Either side may instead bring an individual claim in a small-claims court that has jurisdiction.
18.4 No class actions. Claims may be brought only on an individual basis, not as a plaintiff or class member in a class, collective or representative proceeding.
18.5 Many similar claims. If 25 or more similar claims are filed against us, or by us, by the same or coordinated counsel, they will be administered in staged batches under JAMS's procedures for mass filings, so that every claim is still heard individually and efficiently.
18.6 Opt out. You may opt out of this arbitration agreement by emailing support@ripstead.com within 30 days of first accepting these Terms, with your name, account email and a statement that you opt out. Opting out does not affect any other part of these Terms.
18.7 Where this section does not apply. Nothing in this section prevents a claim for public injunctive relief where the law guarantees it. If you live in a country whose consumer law gives you the right to bring claims in your local courts (for example, the European Union, the United Kingdom or Japan), you keep that right. Otherwise, these Terms are governed by the laws of the State of Delaware, USA, and the Federal Arbitration Act, and any claim that is not arbitrated will be heard in the state or federal courts located in Delaware.
18.8 Changes to this section. If we make a material change to this section, you may reject it by emailing us within 30 days of the change. The version you previously accepted will then continue to apply to you.
19. Electronic communications
You agree that we may send you notices, receipts and other communications electronically, by email or through the Service, and that these satisfy any legal requirement for written communication.
20. Language
These Terms are written in English. Where we provide a translation, it is for convenience only, and the English version controls if there is a conflict, except where local law requires otherwise.
21. Notice to California residents
Under California Civil Code §1789.3, California users are entitled to the following consumer rights notice: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
